Working with one of the top financial clients this role calls for a Law Clerk/ Corporate Governance/Corporate Secretarial who will be responsible for managing the Regulatory Compliance Management program as it relates to monitoring and maintaining Corporate Secretary related Laws, Rules and Regulations while liaising with Legal and Compliance partners.


  • Prepare minutes relating to the meetings of the Board and its Committees
  • Respond to various internal and external requests for audit and regulatory purposes and prepare regulatory materials filings and
    manage Sarbanes-Oxley Act (SOX) testing for the department
  • Research and draft materials for the information or approval of the Board on various topics and present clear and concise results
  • Participate in the team's continuous improvement journey by identifying/recommending opportunities to improve processes
  • Review, update and maintain the policies, procedures, guidelines, and protocols of Corporate Secretary owned
  • Work on special projects relating to a variety of issues

Desired Skill Set:

  • 5 years of solid experience in a related role at a major financial institution or public Canadian company
  • Law Clerk Credential
  • Practical knowledge of corporate secretarial regulatory requirements and LRR and best practices
  • Strong analytical and problem-solving skills with the ability to independently draw conclusions and present results effectively
  • Excellent research, investigative and organizational skills
  • Excellent verbal and written communication skills, with the ability to tailor messages to the audience
  • Ability to work both independently and as part of a team
  • Proficiency in MS Office Suite
  • Strong exposure to Corporate governance
  • Customer service and continuous improvement oriented
  • Strong relationship-building skills with the ability to impact and influence business partners
  • Ability to remain resilient under pressure in a fast-paced environment, while managing multiple priorities
  • Ability to exercise discretion when handling sensitive and confidential matters

  • Prior experience with drafting meeting minutes
